Concept of Tokenization
RedSwan CRE is a fully integrated technology and investment ecosystem designed to tokenize commercial real estate (CRE) while complying with U.S. securities regulations. The parent company, RedSwan PC, Inc., serves a dual role: it operates the RedSwan CRE Marketplace—a digital investment platform—and acts as an SEC-registered investment advisor (RIA).
RedSwan CRE leverages exemptions under Regulation D (for U.S. accredited investors) and Regulation S (for non-U.S. investors) to offer security tokens without full SEC registration. This approach reduces capital-raising time and costs for real estate sponsors. While RedSwan can publicly market offerings, participation is strictly limited to the specified investor categories.

- Marketing and Due Diligence (Weeks 1–4): Investors access offering documents, including a Private Placement Memorandum.
- Expression of Interest (Weeks 4–5): Investors indicate their intended investment amounts without obligation.
- Digital Token Sale (Weeks 6–10): Investors confirm allocations, complete subscription agreements, and fund purchases in USD or USDC. Tokens are issued once payment is confirmed. All tokens are subject to a one-year holding period, after which they may be posted for resale—though liquidity is not guaranteed.
All digital securities are custodied at Coinbase, RedSwan’s partner custodian. While investors do not directly hold the tokens in personal wallets, RedSwan CRE maintains a digital registry of token ownership and ensures proper dividend distribution and reporting. Investors can view their holdings via their RedSwan Marketplace account.
An annual 1.5% AUM management fee covers due diligence, investment advisory, platform access, and registrar services.
To maintain RIA and Reg D/S compliance, 2% of proceeds from each offering are invested in a Stablecoin Portfolio Series, consisting of interest-bearing USDC deposits. This component is managed by RedSwan and aims to preserve capital while generating yield through trusted crypto financial intermediaries.
Cash flow from real estate operations is distributed after deducting property management costs, improvements, and debt service. The remaining equity income is shared among investors—typically on a quarterly or annual basis—and forwarded by RedSwan CRE.
