Lofty operates as a marketplace where third-party property owners can sell equity in their assets directly to investors. Both US and non-US investors are allowed to purchase tokens. For each property, the maximum number of tokens each investor can own is 10%. This number increases to 15% if the property is live for more than 3 days.

The platform is built on the Algorand blockchain, chosen for its low transaction costs and high speed. Key performance indicators for Lofty include over $65 million in transaction volume, 34k+ registered investors, and a portfolio of over 150 properties in the USA. Investors earn daily rental income and benefit from property appreciation. Estimated annual returns typically range from 6% to 12% cash flow, with additional potential for appreciation.

Legal Structure, Jurisdiction, and Status

  • Corporate Entity: Lofty is operated by Lofty AI, Inc., headquartered in Miami, Florida. The company is a Y Combinator-backed startup (S19).
  • Property Structure: Every property on the platform is owned by an individual Wyoming LLC.
  • Token Rights: When you buy a Lofty token, you are purchasing a Membership Interest in that specific Wyoming LLC. This grants you legal ownership of the property’s equity, proportional rental income, and voting rights on property decisions.
  • Compliance & Restrictions: Lofty operates under US regulations. It is important to note that the platform currently restricts investors from sanctioned countries due to OFAC compliance.

Team Evaluation

  • Jerry Chu, Co-Founder and CEO: A graduate of the University of Wisconsin-Madison with a degree in Economics, Jerry combines a background in investment banking (notably at BMO Harris Bank) with deep expertise in Data Science. Before Lofty, he developed proprietary AI models designed to predict real estate appreciation by analyzing complex market metadata.
  • Max Ball, Co-Founder: An alumnus of the University of Southern California (USC), Max leads operations and marketplace growth. Before Lofty, he honed his expertise in scaling tech-driven marketplaces at companies like BuildZoom, where he focused on operational analytics and product-market fit.

Real Estate Tokenization Process

  1. Marketplace Model: Property owners submit their properties to Lofty. The platform conducts due diligence, including inspections and appraisals by third-party service providers.
  2. LLC Formation: The property title is transferred to a dedicated Wyoming LLC via a warranty or quitclaim deed.
  3. Tokenization on Algorand: The equity of the LLC is divided into tokens (fractions) and minted on the Algorand blockchain.
  4. Sales & Storage: Tokens are sold through the marketplace, acquired by investors, and stored in either the Lofty Wallet or an external wallet (such as Pera or MyAlgo).
  5. Property Management: Lofty does not manage the properties. Instead, token holders vote to appoint or keep third-party professional property managers. These managers handle tenants, repairs, and rent collection. Token holders are active participants, voting on key issues such as rent increases, approving major repairs, or deciding whether to sell the entire property if an outside offer is received.
  6. Liquidity: Lofty offers a highly liquid environment compared to traditional real estate. Investors can sell their tokens at any time via the internal secondary marketplace. To support liquidity, Lofty utilizes a Proactive Market Maker (PMM) and liquidity pools, allowing users to execute “Market Orders” (instant sales) or “Limit Orders” (at a specific price).

Fees and Costs

  • Marketplace Fee (3%): Charged only when an owner sells equity on the platform.
  • Secondary Market Fee: Buying and selling shares on the secondary market incurs a 3% fee for investors.
  • Payment Processing:
    • ACH Transfers: 0.8% fee (capped at $5).
    • Credit/Debit Cards: ~2.9% + $0.30.
    • Crypto (USDC/ALGO): Minimal blockchain gas fees (less than $0.01).

No Ongoing Platform Fees: Lofty does not take a percentage of the monthly rent; all property management fees are paid directly to the local management companies.

  • Multi-Family Units: Duplexes or small apartment complexes that provide diversified rental income from multiple tenants within a single investment, reducing the risks associated with individual vacancies.
  • Vacation Rentals (Airbnb/Short-Term): High-yield properties in popular tourist destinations such as Arizona, Colorado, or Hawaii. These listings often provide higher cash flow but are characterized by greater operational variability.
  • Commercial Spaces: This category includes retail outlets, office buildings, or mixed-use properties, allowing investors to take advantage of professional and commercial lease structures.

Challenges I Encountered as a Potential Investor

In 2025, the US tokenized real estate sector and the business model of companies acting as a mediator between investors, property owners, and third-party management companies—most notably exemplified by RealT—faced significant public criticism. Reports surfaced suggesting that underlying property investments were not generating sufficient organic income and that payouts to investors were being funded by capital from new participants. As a potential investor, I found it difficult to understand how these doubts could be definitively resolved within the Lofty framework.

I understand that I can propose real estate solutions through the DAO and vote on them. However, I am unlikely to want to spend my time doing that. What interests me is knowing exactly who is held accountable for ensuring that the property I invested in generates a profit, and what that company’s track record, competence, and team look like. Furthermore, I would want my rights to be protected in a clear and transparent manner, with a process that is easy to navigate even as an international investor.
